The deal, in writing.
These terms govern use of the Actium managed platform and any commercial subscription. They do not govern the open-source components of the skill catalog or the R1 runtime (Apache 2.0).
1. Definitions
Service means the Actium managed platform, including the assistant builder, scheduling engine, integration vault, CRM, Tasks, and developer API. Customer means the entity that accepted these terms. Workspace means an isolated set of assistants, credentials, and run records within the Service. Run means one scheduled execution of one assistant from trigger to completion or failure.
2. License
Subject to these terms and the applicable order form, Good Ventures Lab Inc. grants Customer a non-exclusive, non-transferable, worldwide right to use the Service during the term.
3. Acceptable use
Customer agrees not to use the Service to: facilitate illegal activity; circumvent rate limits at third-party APIs connected through the vault; impersonate other tenants; tamper with audit records; or attack the Service infrastructure. Third-party API terms apply transitively. When an assistant calls a third-party integration, your use must additionally comply with that provider's terms.
4. Fees
Fees are stated in the order form or on the pricing page. The managed platform bills a base subscription plus per-run overage above the monthly included allowance, itemized on every invoice. Disputed invoices: notify within 30 days of invoice date. Late payment: 1.5% per month or the maximum allowed by law, whichever is lower.
5. Term and termination
The agreement runs for the term in the order form, with automatic renewal unless either party gives 30 days' written notice before renewal. Either party may terminate for material breach uncured 30 days after written notice. On termination, Customer data (CRM, Tasks, run metadata) is exportable for 60 days, after which it is deleted (except where retention is required by law).
6. Confidentiality
Each party will protect the other's confidential information with reasonable care. Confidentiality survives termination for three years.
7. Warranties
Good Ventures Lab Inc. warrants that the Service will materially conform to the published documentation during the term. The Service is otherwise provided "as is." We disclaim implied warranties of merchantability and fitness for a particular purpose, except where prohibited by law.
8. Limitation of liability
Except for breach of confidentiality, indemnity obligations, willful misconduct, or fraud, neither party is liable for indirect, incidental, consequential, or punitive damages. Each party's aggregate liability is capped at fees paid in the 12 months preceding the event.
9. Governing law
These terms are governed by the laws of British Columbia, Canada. Disputes are resolved in the courts of British Columbia. Jurisdiction-specific addenda available where required by law.
10. Changes
Material changes are announced on the changelog and emailed to billing contacts at least 30 days in advance. Continued use after the effective date constitutes acceptance.
